1. Services Provided. Mic'd Up ("Provider") will supply the Customer with microphone devices, armbands, and access to the Mic'd Up platform, including: automated communication breakdowns, timestamped game reports, weekly summaries during active periods, a final program report, and dashboard access for designated evaluators.
2. Fees and Payment. Device fees are based on the volume pricing tier at the time of purchase. Full payment is required before devices are shipped. Per-game analysis fees are billed monthly based on the Customer's scheduled games and are not included in this device purchase. A replacement fee of $20 USD applies for any device returned in damaged or non-functional condition beyond reasonable wear.
3. Provider Responsibilities. Provider will: ship devices within 10 business days of payment; provide onboarding training materials and video guides; maintain dashboard access for the duration of the program; deliver weekly communication summaries during active periods; and provide a final program report at the conclusion of the engagement.
4. Customer Responsibilities. Customer will: appoint a primary project lead as the point of contact; distribute devices to participating officials; ensure recordings are used for internal development purposes only; and return all devices in good condition within 14 days of program conclusion.
5. Confidentiality. Both parties agree to keep non-public information shared during the engagement confidential. Recordings are owned by the individual official and are private by default. The Customer may request access to specific game recordings for investigation purposes, subject to the official being notified.
6. Early Termination. Either party may terminate this agreement with 5 business days' written notice. If the Customer terminates early and returns all equipment in good condition, a pro-rated refund of unused device fees will be issued. Per-game fees already incurred are non-refundable.
7. Limitation of Liability. In no event shall either party be liable for indirect, incidental, consequential, or punitive damages arising out of or related to this agreement. Provider's total liability shall not exceed the total fees paid by the Customer under this agreement.
8. Equipment Return. All devices must be returned within 14 days of the program's conclusion in good working condition, reasonable wear and tear excepted. Devices not returned or returned in damaged condition will be subject to the replacement fee.
9. Data Retention. Official recordings are deleted 30 days after the season or program concludes. Provider may request permission to retain a small anonymized sample for product development, with all identifying information removed.
10. Governing Law. This agreement shall be governed by the laws of the Province of Alberta, Canada.
11. Entire Agreement. This agreement constitutes the entire understanding between the parties. If any provision is found unenforceable, the remaining provisions remain in full effect.
